China.
The People's Republic of China is the world's second-largest economy and largest manufacturing base, with a domestic consumer market of 1.4 billion people. Foreign participation is governed by the Foreign Investment Law and the revised Company Law effective July 2024. An onshore presence is generally required to issue RMB invoices, hire staff directly, hold licences and sell to state-owned enterprises.
VineModa Jurisdiction Guide
Selecting the right jurisdiction is the first structural decision in any cross-border venture, and it is rarely reversible without cost. This guide is a practical orientation for founders, investors, family offices and corporate groups. Our specialists translate these general observations into a structure fitted to the specific transaction, ownership profile and operating footprint.
The commercial case
Why
China
Unrivalled market scale and supply-chain depth across manufacturing, technology, consumer and industrial sectors.
Standard enterprise income tax of 25%, reduced to 15% for qualifying High and New Technology Enterprises and businesses in designated zones.
The 2024 national Negative List removed remaining manufacturing restrictions, while pilot free trade zones offer streamlined approvals and capital pilots.
A treaty network exceeding 100 agreements, with the Hong Kong SAR arrangement potentially reducing qualifying dividend withholding from 10% to 5%.
The 2024 Company Law permits a single-tier board with an audit committee and clarifies capital-contribution obligations under a five-year deadline.
Structuring options
Choice of entity.
The appropriate form depends on ownership, fundraising, tax profile, regulation and the intended operating footprint.
Wholly Foreign-Owned Enterprise

Foreign-Invested Partnership
PartnershipA general or limited partnership used principally for onshore private equity and venture funds, including QFLP programmes, where flexible allocation and flow-through treatment are required.
Company Limited by Shares
Listing vehicleThe form required for a domestic A-share or STAR Market listing, generally adopted later by restructuring an existing WFOE or joint venture.
Hong Kong SAR Intermediate Holding Company
Holding structureA customary interposed holding vehicle that can provide access to the 5% treaty dividend rate and simplify future disposals, subject to beneficial ownership and indirect-transfer rules.
