Jurisdiction Guide · Asia-Pacific

Australia.

Australia is a AAA-rated G20 economy with more than three decades of nearly uninterrupted growth, a transparent common law system, and one of the world's largest pools of institutional capital in its A$3.9 trillion superannuation system.

Company registration through ASIC can be completed within a day once prerequisites are ready, but each director must first obtain a director ID; foreign directors should allow additional time for identity verification. Australia is a natural base for resources, agribusiness, education, health, fintech and Asia-Pacific regional operations.

Selecting the right jurisdiction is the first structural decision in any cross-border venture, and it is rarely reversible without cost. This guide is a practical orientation for founders, investors, family offices and corporate groups. Our specialists translate these general observations into a structure fitted to the specific transaction, ownership profile and operating footprint.

The commercial case

Why
Australia

01

Corporate tax is 30%, reduced to 25% for base rate entities with aggregated turnover below A$50 million. A full dividend imputation system eliminates double taxation for resident shareholders.

02

ASIC registration may be completed within one business day once all prerequisites are ready, but every director must obtain a director ID before appointment. Foreign directors should allow additional time to verify their identity and complete that process.

03

The Research and Development Tax Incentive provides a refundable offset of up to 43.5% for smaller companies and a non-refundable offset for larger groups. Early Stage Innovation Company concessions are available for angel investors.

04

Approximately 45 double taxation agreements—including treaties with China, Singapore, Japan, the United States and the United Kingdom—sit alongside free trade agreements covering most major trading partners.

05

Strong rule of law, sophisticated financial markets, an ASX ranked among the world's ten largest exchanges by capitalisation, and a deep professional services sector.

06

Foreign investment is welcomed, subject to FIRB review above applicable monetary thresholds. Most commercial transactions proceed without notification.

Structuring options

Choice of entity.

The appropriate form depends on ownership, fundraising, tax profile, regulation and the intended operating footprint.

01

Proprietary Company Limited by Shares

Pty Ltd

The standard private company and the form used by most foreign subsidiaries and domestic businesses. It is limited to 50 non-employee shareholders, may not raise funds from the public, and requires at least one director ordinarily resident in Australia. Small proprietary companies meeting fewer than two of the A$50 million revenue, A$25 million assets and 100 employee thresholds are generally audit exempt, although foreign-controlled small companies may have lodgement obligations.

02

Public Company Limited by Shares

Ltd

Required for more than 50 shareholders, public fundraising or an ASX listing. It requires at least three directors, two of whom must be Australian residents, together with audited accounts and annual general meetings.

03

Company Limited by Guarantee

Not-for-profit

The customary not-for-profit form for charities, associations and sporting bodies, regulated by ASIC and, where applicable, the Australian Charities and Not-for-profits Commission.

04

Registered Foreign Company

Branch

An overseas company carrying on business in Australia may register with ASIC and obtain an ARBN. It is taxed on Australian-source profits, has no separate legal personality and requires a local agent. The structure is common for banks and where head-office capital must support local operations.

05

Unit Trust and Discretionary Trust

Trusts

Trusts are pervasive in Australian structuring. Unit trusts are widely used for property, infrastructure and pooled investment, including listed A-REITs, and offer flow-through taxation. Discretionary trusts are common in family and closely held business ownership.

06

Limited Partnership, VCLP and ESVCLP

Venture capital

Ordinary limited partnerships are taxed as companies, while registered VCLPs and ESVCLPs receive flow-through treatment and investor concessions, making them preferred structures for Australian venture funds.

07

Corporate Collective Investment Vehicle

CCIV

Introduced in 2022 as a company-form fund with segregated sub-funds and flow-through tax treatment, designed to be familiar to Asian and European investors accustomed to corporate fund structures.
